CLIP STUDIO ASSETS Terms of Service

Introduction

Thank you for using the Clip Studio Assets Service (hereinafter "ASSETS Service") provided by CELSYS, Inc. (hereinafter "Celsys") to allow users ("User" or "you") to share materials with each other. Usage of the ASSETS Service is subject to these Clip Studio Assets Terms of Service (hereinafter "ASSETS TOS").

Use of the ASSETS Service

When posting materials, please follow the Posting and Behavioral Guidelines (https://www.celsys.com/en/information/post/) and the Best Practices for Posting on Clip Studio Assets (https://assets.clip-studio.com/en-us/information/notice).
When using the Assets Service in regions other than Japan, some services (including but not limited to plug-ins) cannot be used.
The Assets Service is for users to share materials with each other. Transactions are made between individual users, not with Celsys.
You may use materials (hereinafter "ASSETS Materials") from the ASSETS Service for your own creative activities within the scope stipulated by the Assets TOS.
By posting content such as materials and material information (thumbnails, explanations, sample images and profile text) to the Assets service, you grant Celsys a non-exclusive worldwide license to use, display, adapt, and modify the content as necessary for the purposes of promoting the Assets Service. This may include posting on the Assets service, social media, or websites.
You may download and use materials made available on the Assets Service only within the scope permitted by the Assets TOS. Users who post content on the Assets Service retain full ownership such as copyrights and intellectual property rights.
Assets Service materials include free materials; GOLD materials, which are purchasable only with GOLD points; and Clippy materials, which can be acquired with Clippy points. Please follow the instructions on the Assets Service to purchase and download materials.
If you purchase a GOLD or Clippy material, you may not request a cancellation, modification, return, or refund. However, this shall not apply in cases where there is a fault, defect, or discrepancy, in the material or material information, and Celsys may remedy the situation at its own discretion.
Acquired materials will be displayed in the Downloads page in the Assets Service after the transaction is complete. The display of the material on this page shall be deemed as completion of the transaction.
Users may edit, change, or add to materials and material information that they have posted. Even in such a case, the conditions displayed in the material information l at the time of purchase shall be applied.
Materials displayed in Downloads may be re-downloaded an unlimited number of times. However, Celsys does not guarantee the period for which they will be available for re-download. Materials cannot be re-downloaded if the posting user removes the material or deletes their account, etc.

Before posting a material, you must first review the permitted scope of use stipulated in the Assets TOS. You may not write any additional scope of use in the material information. Should such information be included, Celsys may edit or delete the material information at its own discretion.
When posting a material, you represent and warrant that you have full understanding of the intellectual property rights of the material. If any defects or rights infringements are found with the material, the posting user shall be responsible for them, and the following actions shall be taken in cooperation with Celsys.
- To any users who obtained the defective material: refund and explanation of the situation
- To the actual rights holder: communication to resolve the rights issue and compensation for related costs
Users shall always use up-to-date virus checking software to check that the materials they post do not contain computer viruses or other malware, and shall guarantee that their materials do not contain malware.
When a user pays for a material with Clippy tokens, the Clippy shall be credited to that material.
The act of posting, purchasing, or downloading materials on the Assets Service represents an agreement made between the parties involved. Underage users must receive permission from a person with parental authority or a guardian or other legal representative before using the Assets Service.

Permitted Use of Materials

You may import and use Assets Materials within specified software, and may only use such materials for your own works. Users that post materials grant other users a non-exclusive license to use such materials within the scope stipulated below.

(1) Redistributing is prohibited.
However, it is permitted for an assistant to use the material on behalf of the user who acquired the material, under their supervision.
(2) The usage period is unlimited
(3) The number of times the material can be used is unlimited
(4) The material may be used for commercial purposes
(5) The material may be duplicated

Upon uploading a material to the Assets service, users do not grant permission to use any content in the material information such as images or text. All forms of unauthorized reproduction and secondary use are forbidden.

Special Provisions Concerning Licensed Materials

For Limited License Materials provided to the Assets Service, stipulations about specific usage methods, commercial usage permission, scope of use, cautions, or restrictions within the material information shall take precedence over the Assets TOS. Users shall use such Licensed Materials in accordance with these terms.

Prohibited Actions

Users may not use Assets materials in ways that infringe the Celsys TOS or other policies.
Assets Materials may not be distributed, transferred, or lent in a state where the material may be directly extracted from the work.
Assets Materials must not be used in a product or service design where the material is the main element, or it is used or registered as a trademark, logo, symbol or mascot.
The contracted rights, obligations and services outlined in the Assets TOS may not be transferred, passed on, or provided as collateral, etc., in whole or in part, to any third party.
The poster of a material may not impede other users from using the material in accordance with the Assets TOS.

Guarantees and Disclaimers

Celsys provides the Assets Service as a location to post, download, purchase and acquire materials. As such, Celsys does not enter into agreements in transactions, does not act as a representative of any user in any form, and does not accept the authority to do so.
Celsys will deem what action is appropriate in the event that a discrepancy, fault or defect is found in a material posted to the Assets Service.
Celsys shall promptly check the contents of materials posted to the Assets Service, including performing up-to-date virus checks. However, Celsys does not warrant that materials do not contain computer viruses or other malware. Furthermore, Celsys makes no guarantees as to the content of posted materials, including but not limited to that posted materials do not violate third party intellectual property rights or other rights, and accepts no liability therein.
If Celsys receives a report concerning issues with a material, it will take action as prescribed in the Posting and Behavior Guidelines.
If Celsys takes an action it deems necessary for operation of the Assets Service, it is not obligated to provide a reason.
